If you do not agree, please do not apply.
These Terms cover Verlin Society only. They do not cover Champagne, Bronze, Emerald or Horizon, any physical club membership, or paid experiences and travel, which have their own terms.

1. Who can join
1.1 You must be at least 18 years old and apply in your own name. Membership is for one individual only.
1.2 Membership is by application. Verlin decides applications at its discretion, applying fair and lawful criteria, and may accept, decline or defer an application.
1.3 Horizon is a separate waiting list for Champagne and Bronze club membership. It is not part of Society and is not covered by these Terms.
1.4 You must give accurate, current information and keep your account details up to date.
2. Your membership
2.1 Your membership starts when we have received your payment and lasts for 12 months (your "Membership Year").
2.2 Membership is personal to you. You may not transfer, sell or share it, or let anyone else use your account.
2.3 Your membership gives you the benefits described on the Verlin website when you joined (the "Membership Benefits"), as they may be updated under clause 2.4.
2.4 Society is an early-stage membership. We may add to, improve or replace Membership Benefits, for example when new partners or platform features are confirmed. We will not reduce the overall value of what you have paid for during your Membership Year. Partner offers are provided by third parties, may change, and are subject to their own terms.
2.5 No Verlin club exists yet. Society membership does not include access to any club, courts, hospitality or accommodation, and we do not promise that any club will open or when (see clause 9).
3. Price and payment
3.1 Membership costs £750 for one Membership Year, paid once when you join. There is no other charge for membership.
3.2 Prices are in pounds sterling. We take payment through our payment provider, Stripe, using the payment methods shown at checkout. We do not store your full card details.
3.3 We do not take recurring payments. We will not charge you again unless you choose to pay for a renewal (clause 4).
3.4 We will email you a receipt.
3.5 Entry to Society gatherings is included in your membership. Any food and drink provided is stated in each invitation. Experiences, trips, travel and guest tickets are not included and are charged separately.
4. Renewal
4.1 Your membership does not renew automatically.
4.2 Before your Membership Year ends we aim to email you a reminder, about 30 days before, with the renewal price and a payment link. Renewing is a new purchase for a further 12 months.
4.3 If you do not renew by the end of your Membership Year, your membership ends and you lose access to the Platform and the Membership Benefits. If you renew within 60 days after it ends, your original join date for founding access is kept (clause 9.3).
4.4 We may change the price for renewals. We will tell you the renewal price in the reminder, before you pay. A price change does not affect a Membership Year you have already paid for.
5. Cancelling and refunds
5.1 If you are a consumer (an individual buying for purposes outside your trade or profession), you have the right to cancel your membership within 14 days, starting the day after the contract is made, without giving a reason.
5.2 To cancel, tell us clearly by email to society@verlin.se. You can use the form at the end of these Terms, but you do not have to.
5.3 We will start your membership during the 14 days only if you ask us to at checkout and acknowledge the effect on your right to cancel. If you cancel after we have started, you must pay a proportionate amount for the period your membership has been active until you told us you were cancelling, and we will refund the rest.
5.4 If you cancel within the 14 days, we will refund what you are owed within 14 days of your notice, to the payment method you used.
5.5 After the 14 days, if you choose to stop, we do not refund the fee for the rest of your Membership Year, except: (a) where we end your membership under clause 12.2(b); (b) where we materially fail to provide the membership; and (c) as the law requires. This does not affect your legal rights, including that services must be provided with reasonable care and skill.
6. Using the Platform
6.1 We give you a limited, personal, non-transferable, revocable licence to use the Platform for its intended purpose (the member community, events, introductions and member services) while your membership is active.
6.2 You must not:
(a) share your login or let anyone else use your account;
(b) use the Platform for anything unlawful, fraudulent or unauthorised;
(c) try to access, copy, reverse-engineer or interfere with the Platform or the infrastructure or third-party technology it runs on;
(d) post content that is unlawful or harassing, or that breaches another person's privacy or dignity; or
(e) use any member directory or messages, where available, to advertise or sell to other members or to collect their details.
6.3 We aim to keep the Platform available but do not promise it will be uninterrupted or error-free. We may carry out maintenance. The Platform is currently a web application.
7. Member conduct and community standards
7.1 Verlin Society is built on trust, discretion and respect. You must treat staff, members, guests and partners with courtesy and follow these standards and any house rules for a gathering.
7.2 We may suspend or end your membership under clause 12 if you:
(a) seriously or repeatedly break these Terms or our standards;
(b) are abusive, discriminatory or harassing;
(c) bring Verlin into disrepute, or claim a partnership or endorsement that has not been agreed; or
(d) cause a serious safety concern.
7.3 Do not share other members' private information (for example who attended or what was said) outside the community without their permission.
8. Society gatherings
8.1 Verlin will hold at least four Society gatherings in each 12-month period. Your membership includes entry for you to the gatherings you are invited to during your Membership Year.
8.2 Gatherings are hosted in small groups. Because places are limited, invitations are extended in turn across the membership, so you may not be invited to every gathering. We will invite you to at least one gathering in each Membership Year.
8.3 Each invitation will state the date, the venue, whether food and drink is provided, and any cost for guests.
8.4 We may change the format, venue or date of a gathering. If we cancel a gathering you were invited to and do not rearrange it, we will offer you a reasonable alternative.
8.5 Where we offer them, you may bring a guest at the ticket price stated in the invitation. You are responsible for your guest's behaviour, and your guest must follow these standards.
8.6 We may take photographs or video at gatherings to run and promote Verlin. We will say so at the event, and you can ask not to be photographed. How we use images is explained in our Privacy Policy.
8.7 Gatherings may include sport or other physical activity, which carries a risk of injury. By taking part you accept that risk, agree to follow safety instructions, and agree to tell us in advance about any relevant medical condition. Nothing in this clause limits liability that cannot lawfully be limited (clause 13.1).
9. Founding windows, clubs and what Society does not include
9.1 Members who join before the first club opens are "founding Society members". Founding Society members may receive first access to the Champagne and Bronze founding windows and priority access to club membership, as described on the Verlin website.
9.2 These are access arrangements only. They do not give you a right to a club place, a particular price or tier, or any club facility. We do not promise that any club will open, or when. Club memberships are offered under separate agreements, subject to application, availability and their own terms.
9.3 Founding access is offered in order of joining. Your join date is the date of your first payment. You lose your place if you cancel or are refunded, if we end your membership under clause 12.2(a), or if you do not renew within 60 days after your membership ends (clause 4.3).
9.4 Society membership is not an investment. It gives you no ownership, shares, voting rights or share of profits, and nothing on the Platform is an offer of securities or investment advice.
9.5 Emerald, Champagne, Bronze and Horizon are not covered by these Terms.
10. Experiences and travel
10.1 Premium experiences, retreats, trips and travel offered to members are priced separately and are not part of Society membership. They are sold under their own booking terms, which may be provided by Verlin, a group company or a third party.
10.2 Nothing in these Terms entitles you to any experience, trip or discount unless it is stated in the offer at the time.
11. Content and intellectual property
11.1 You keep ownership of content you post, but you give Verlin a non-exclusive, royalty-free licence to use, display and reproduce it to operate and promote Verlin, including in marketing. You can ask us to remove content you have posted.
11.2 You must not post content showing other people, in particular children, without their permission or that of a parent or guardian.
11.3 The Verlin name, the V monogram, our brand assets and the Platform belong to Verlin or its licensors and are protected by intellectual property law. You get no ownership or licence beyond the right to use the Platform as a member (clause 6.1).
12. Ending your membership
12.1 You can stop using your membership at any time, subject to clause 5.5.
12.2 We may end your membership:
(a) for the reasons in clause 7.2, immediately or on notice, without a refund of fees already paid; or
(b) for any other reason on 30 days' written notice, in which case we will refund the part of your fee for the period we will not provide.
12.3 When your membership ends, your access to the Platform ends. We keep and delete your data as set out in our Privacy Policy.
12.4 Clauses 11, 13, 16 and 17 continue to apply after your membership ends.
13. Our liability
13.1 Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
13.2 Subject to clause 13.1, and to the extent the law allows, we are not liable for loss that was not a reasonably foreseeable result of our breach, and our total liability to you for claims relating to your membership is limited to the fee you paid for the Membership Year in which the claim arose.
13.3 If you are a consumer, your statutory rights are not affected by these Terms, including that services must be provided with reasonable care and skill.
13.4 We are not responsible for the acts or omissions of third parties we do not control, such as partners, venues, and providers of services you buy from them separately.
14. Changes to these Terms
14.1 We may update these Terms, for example to reflect changes in the law, the Platform or the Membership Benefits. We will tell you about material changes by email or on the Platform at least 30 days before they take effect.
14.2 A change will apply to a Membership Year you have already paid for only if the law requires it or it does not disadvantage you. Otherwise it applies from your next renewal, and you can choose not to renew.
15. Complaints
15.1 If you are unhappy with anything, email society@verlin.se. We will acknowledge your complaint within 5 working days and aim to reply fully within 20 working days.
16. Law and courts
16.1 These Terms are governed by the law of England and Wales. If you are a consumer living in Scotland or Northern Ireland, you may bring proceedings in the courts of that part of the UK. Otherwise the courts of England and Wales have non-exclusive jurisdiction.
16.2 If you live outside the UK, you may have mandatory consumer rights under the law of your country, and these Terms do not take them away.
17. General
17.1 These Terms, and the documents referred to in them, are the whole agreement between you and Verlin for Society membership.
17.2 Only you and Verlin have rights under these Terms. No one else can enforce them under the Contracts (Rights of Third Parties) Act 1999.
17.3 If any part of these Terms is found to be unenforceable, the rest continues to apply.
17.4 We may give you notices by email to the address on your account. You may give us notices at society@verlin.se.
17.5 We may transfer our rights and obligations under these Terms to another company in the Verlin group, or to a successor to the business, if this does not reduce your rights. You may not transfer yours (clause 2.2).
